Kymco reveals LiveWire-based RevoNEX

Kymco has been promising a high-performance electric motorcycle since revealing the original RevoNEX concept bike back in 2019 - and while the latest version shares the same name it's a completely different vehicle that's much closer to production reality.


In fact, it's the third time Kymco has used the RevoNEX name. The original was a rather heavy-looking electric bike that took the unusual measure of featuring a conventional manual transmission. A second, completely redesigned concept arrived in 2022, looking slimmer and featuring completely new underpinnings that replaced the heavy manual gearbox with an electronic simulation of a manual - there was still a clutch lever and foot shifter, but the 'shifts' were programmed into the electric power delivery rather than real, mechanical changes of ratio. 

The latest Kymco RevoNEX concept is completely different to previous iterations, but retains the idea of an electronically-simulated gearshift to give an extra layer of control and familiarity for riders brought up on ICE motorcycles. However, it's a much more viable production bike than its predecessors because under the radical, semi-transparent bodywork lies the chassis and powertrain of the LiveWire S2 platform.

It's not unexpected. In late 2021 Kymco and LiveWire announced it was investing in the Livewire SPAC and that they were working together on future bikes, including machines based on the S2 'Arrow' platform that's since been launched in LiveWire's S2 Del Mar and S2 Mulholland models, and a smaller, cheaper 'S3' platform for lower-performance future bikes. 

Kymco expects the latest RevoNEX to reach production in late 2026, and while we can expect some elements of the concept bike to be replaced with simpler or lower-cost parts the overall look and chassis design is essentially locked-in at this stage.

For the latest concept Kymco has delved into the high-end components bin, using the tried and tested combination of Ohlins suspension and Brembo brakes, along with some less familiar elements including a forged carbon fibre material for the seat unit and that red-tinted transparent fairing. Whether those parts make the cut for the production version will depend largely on Kymco's intended price point.


Kymco partnership leads to LiveWire's first scooters

Before the Kymco RevoNEX reaches production the company - along with LiveWire - has developed two electric maxi-scooters based on the same S2 Arrow platform that are set to wear LiveWire branding when they reach dealers in early 2026.

Details are thin on the ground, but renderings of the two machines show one is an adventure-style model, with fat, knobbly tyres and an array of luggage racks and crash bars covering almost every panel, while the other is a low, sleek design that's clearly intended as a city-oriented machine.

Both are notable for their long wheelbases and appear to show a new level of adaptability for the S2 Arrow platform. It was always designed to be scalable, allowing different battery sizes and motors to be fitted, and thanks to bolt-on front and rear subframes, the geometry can be easily changed. 

Power, performance and range are unknown at this stage, but the two bikes are likely to be officially launched in 12 months' time ahead of production in the first half of 2026.

PSB reports that Textron-owned snowmobile and ATV manufacturer Arctic Cat has announced that some 65 employees have been laid off at its Thief River Falls, MN facility (Nov 13, 2024), with many of its hourly production workforce employees also being furloughed "until early next year" when production is expected to resume. A company quarterly report states that "lower anticipated consumer demand" for specialized vehicles and canceled projects were factors in the company’s decision to "reduce operating expenses through headcount reductions."


Finally, some good news as the decade-long saga of the demise of the ill-starred Stuart Garland Norton motorcycles era continues to cause ripples in the UK. BDN has reported that pensioners who lost money from the Norton pension schemes have finally been compensated. More than 200 people who had been defrauded after former Norton brand owner Garner illegally invested their pension assets in Norton Motorcycle Holdings have had their money refunded by the UK's Pension Protection Fund, with more that £9.4m (approx. $12m) refunded.


Data from ACEM (Brussels) shows electric new motorcycle registrations (all L-Category vehicles) down by -25% for the first ten months of 2024 at 21,165 units. Germany is down by -45.8% (4,327 units) and Italy is down by -29.9% at 4,999 units YTD. Of Europe's 'Big Five' national markets France is the largest and is the only one holding on to demand - though still down YTD by -2.0% with 6,750 units sold. Registrations of L-Category electric mopeds are down in each of the 'Big Six' markets for those types of PTWs at -21.8% (38,681 units). These are the low cc equivalent Powered Two Wheelers and the 'Big Six' are Belgium, France, Germany, Italy, the Netherlands and Spain. Belgium is the largest of the six, with France second and the Netherlands third. This data excludes E-assist cycles - which is a much larger market in Europe, in unit terms, and one that is still believed to growing. The data gathered for that sector is 'patchy' at best though as there are not many markets where conventional registrations are required and retail sales data, where available, is not reliable.


In terms of motorcycles of 250 cc and above, exports of motorcycles made in the 'Big Four' domestic Japanese based motorcycle brand factories have been softening in Europe as 2024 has developed, having staged somewhat of a comeback in the prior 24 months, but have rallied impressively to the USA. The latest available data (through September 2024) from JAMA (the automotive trade association in Japan, which includes representation of motorcycle manufacturers among its membership) shows exports to USA up by +27.59% at 67,179 units YTD. In contrast exports to Europe were down by -16.58% at 147,817 units. Global Japanese made motorcycle exports were -7.57% at 271,269 units, with total Global PTW (Powered Two-Wheeler) exports down by -9.86% at 332,841 units. For the record, annual worldwide Japanese made motorcycle and moped exports (all PTW) fell off a cliff in 2009 to 583,879 from over one million in 2008, having peaked at 1,641 million units in 2000. They have continued to decline most years since then, in large part as the Japanese brands have invested in production capacity elsewhere. However, the majority of higher value, larger displacement Honda, Yamaha, Kawasaki and Suzuki models continue to be made in Japan. In 2023 they were at 518,259 units (+6.46%). European motorcycle imports from the Japanese factories were at +17.26% (247,187 units) in 2023; they were down by -1.34% to USA in 2023 at 132,218 units.


Parts Europe has added Ohlins suspension parts to its burgeoning inventory. The arrangement is to start with Harley-Davidson aftermarket cruiser/custom fitments, with parts for all other brands and segments following soon after. Ohlins was sold recently, with Apollo owned, $18bn turnover US conglomerate Tenneco accepting a € 370m offer from Brembo in Italy. The news came hard on the heels of an announcement that PE had also added the Italian made Zard H-D application exhausts, and the Denali brand of LED lights and related products. Founded by Northeastern US distributor Twisted Throttle, Denalli and TT were bought by Washington State based lighting specialist Vision X. Vision X/Denali were subsequently bought by Brown Wilson International in Australia, which in turn was bought by the giant Australian Amotiv group (formerly GUD Holdings). There's always a bigger fish! 


Harley sold 297 units in Sweden for the first nine months of 2024, for ninth spot (3.95%) in market share terms in the spiritual home of the Chopper. That was down from a 5.52% share (533 units) in the same period of 2023. Yamaha is market leaders in Sweden, followed by BMW, Honda, KTM and Kawasaki.

The IMF reports that global public debt is forecast to exceed $100tn by the end of 2024. IMF reports that the major economies' plans to stabilise borrowing will "fall far short of what is needed" - leaving advanced and emerging economies perilously exposed to the risks of global economic collapse.


Following the news that American owned, Italian electric sportbike manufacturer Energica is bankrupt, another high-profile e-bike brand has gone into bankruptcy. New York based Fuell Motorcycles has now joined the ever-growing list of electric PTW start-ups that are not, in fact, going the start up anymore. Fuell was the brand backed by former sportbike and H-D man Erik Buell.

Mid-Control Kits, Jagged Rotor Options and Chain Drive Conversion


Arlen Ness' custom mid-control kits for FLT Touring models bring the foot controls to a mid-control position - increasing ground clearance and putting the rider in a more aggressive riding position.

The innovative control design utilizes the factory foot control (floorboard) mounts on the frame, instead of mounting to the engine, which allows for less vibration and, in most cases, eliminates the chance for engine case damage in the event of an accident. Mid-control positioning is slightly more forward than standard mid-control setups, providing a more aggressive riding position while maintaining comfort on longer rides.

Each control arm is CNC-machined from billet aluminum, while each control mount is made from CNC-bent steel for durability and factory-like fit. The kits include both brake and shift side foot control assemblies (no pegs or shift pegs included) and accept any male mount style footpegs or H-D big twin shift/brake peg on 2014-2023 FLT Touring/Bagger models (except 2023 FLHXSE & FLTRXSE). They accept any male mount footpeg set and H-D big twin shift/brake pegs.

They are a bolt-on installation for factory exhaust/headers and aftermarket pipes. The company says that "extensive R&D and road testing has shown that they deliver an improved smooth shifting and braking function. Installers will need to separately buy footpegs, shift peg and brake peg - allowing the rider to add their preferred style or color of pegs." 

Jagged big brake rotors

Also seen here, Arlen Ness Jagged rotors took the industry by storm when they were first introduced, offering an economical, high performing 420 stainless steel rotor in 11.8" and 11.5" options. 

"Over the years, we've grown this line into a powerhouse of braking options. It now includes the       2024 FLT 320MM spoke mount rotor, 15" rotor for Dyna, Sportster, Softail, 14" rotor for FLT models, 11.8" replacement rotor, 11.8" rear replacement rotor and 11.5" replacement rotor.

Finally, and brand-new to the Arlen Ness range, this new Jagged chain drive conversion for 2009-2024 FLT Touring models converts from belt to chain drive, with each kit featuring specially designed front and rear sprockets that allow for bolt-on installation, eliminating the need for grinding the inner primary for clearance.

The 27-tooth front sprocket and 57-tooth rear sprocket retains the factory gear ratio, with both sprockets featuring a drilled out Jagged design style that is both heated-treated and coated for long-term durability.

HHI Dominator Billet Swingarm 


Georgia based Hawg Halters has added to its Dominator Swingarm program with this Dominator billet swingarm for FXR and early model FL Touring bikes.

First seen for Baggers at Daytona in March 2024, the precision machined 6061-T6 aluminum swingarm features a lightweight chromoly hollow axle, with a multi-point shock mount system that is designed to work with 10" to 15" shocks and a positive lock adjustable position axle locator system that delivers 2.5 inches of adjustment.

The HHI Dominator swingarm utilizes an interlocking three-piece design that incorporates a massive high strength keying feature with thermal shrink fitting to ensure precision alignment, maximum strength, and permanent construction.


Subtle additions like a keyed axle locator plate and an innovative HHI exclusive stainless steel inner swingarm axle protector allow for maximum axle installation torque and prevents damage to the inner billet swingarm faces.

A new product design that had been in development for more than 12 months at the time of its Daytona launch, it is an advanced design available at what Hawg Halters described at the time as "very aggressive" pricing (in a good way!).

Builders such as Hoffman Designs, So Flo Cycles, Unknown Cycles, Deadwood Custom Cycles have already built with the Dominator, showing at Daytona. Now several, including the mid-control exhaust specialist SPF Fab and others are looking forward to working with the FXR version. 

It ships fully assembled, including pre-installed bearings and sleeves, and is a complete time- and cost-saving ready-to-install kit. The design is said to reduce weight by over 20% compared to a stock swingarm. 

"The main swingarm is a three-piece assembly and one of the unique design innovations we have incorporated with a massive interlocking hi-strength, thermally press-fit keying feature that provides precision alignment and permanent construction."

Assembled with 4 high strength 1/2" diameter 12 pt polished stainless steel, heavy flange ARP bolts, it has a positive lock-adjustable position axle locator system, provides 2 inches of full axle slot adjustment (2.5 times greater than stock) and a keyed axle locator plate that eases axle installation.

There are exclusively designed and made stainless steel inner swingarm axle protector plates, and the design allows maximum axle installation torque, promotes positive axle position and prevents damage to swingarm billet inside faces.

A multi-point shock mount system allows the swingarm to go from stock to +1/2" height - a unique design that, among other benefits, allows installation of most shock absorber brands without spacing. 

The "extreme strength, lightweight hollow axle is made from 150 ksi heat-treated medium carbon steel alloy," says Mark, "which has been precision machined for close tolerance fit and nickel plated for long lasting durability."

Additional features include a stainless steel 36 mm hex axle nut with stainless steel stock type H-D retaining rings supplied as standard.

H-D in MotoGP Circuit Test - That Way Madness Be!

H-D Factory Racing put the performance of its race-prepared 2024 Road Glides on display in a test conducted in conjunction with DORNA, FIM's Madrid, Spain based MotoGP rights holder, at the Circuit of Barcelona-Catalunya in Montmeló, Barcelona, Catalonia, Spain in November - a week after the EICMA 'Milan Show' in Italy.

The test took place on November 18, just 24 hours after the 2024 MotoGP season finale. Originally slated for Valencia, the final round of the 2024 MotoGP Championship had been postponed due to the disastrous floods and loss of life just before the race had been due to be held in Valencia.

Barcelona was pressed into action at short notice as an alternate venue where the MotoGP teams "raced for Valencia instead of racing at Valencia". It was set up as a flood relief fund raiser and saw Harley donate a Road Glide for a charity auction.

The test was designed as a Bagger Racing 'proof of concept', with some of the great and the good of past and current MotoGP grids finding out for themselves what all the Bagger Racing Hype was about. By all accounts all involved were very positive about the experience of lapping a course that will often see speeds of over 210 mph (340 km/h) on an albeit much lightened and race-prepared proverbial 800 lb Gorilla from Milwaukee.


The test was the first European MotoGP race circuit appearance for the Harley-Davidson Factory Racing Road Glide motorcycles that are raced in the United States. H-D Factory Racing riders Kyle Wyman and James Rispoli piloted their bikes on a tight, fast 4.657 km (2.894 m) 14-turn circuit that is notoriously attritional - hard on men and machines both.

Additional guest riders included former MotoGP and World Superbike pilots, Simon Crafar, John Hopkins, Randy Mamola, and Marco Melandri among others.

"We were riding alongside our heroes and were able to share our body of work with people we respect so much," said Wyman. Rispoli added, "What an amazing day for Harley-Davidson. To be on track at the same weekend as MotoGP was incredible. And to share this project with some legends of the sport was unreal. Their reactions after riding our bikes were priceless."

After Wyman and Rispoli had warmed the bikes up, Crafar, Hopkins, Mamola, and Melandri each took sessions on them and were impressed with the power and performance of the Bagger racing motorcycles.

Mamola in particular reported: "the torque is amazing, and the smoothness. This is why I've loved motorcycles since I was 12 years old. It's a motorcycle. And it's a freaking race bike. Everything is so sweet about the bike. Everything is in the right place. It stops really well, the transmission is insane, and it's smooth. The only difference is she's a big bike."

Marco Melandri said "my laps got better and better as we go. Once I tested the lean angle, I felt much better. It's not so heavy, and not so big when you ride it. And the engine and the torque is amazing." Okay, fair enough, all good.

While overcast and cool conditions prevented outright lap time attacks, Wyman and Rispoli reached measured top speeds of over 171 mph (275 km/h) on the fastest sector of the track. For a Harley, that is really very, very good. Though, for reference, the all-time MotoGP record for the same track was set in the summer of 2024 at 221.46 mph (356.4 km/h).

However, whether carried away on a wave of excitement, or on a wave of fundamentally flawed brand hubris, Jochen Zeitz, Chairman, President and CEO of Harley-Davidson appears to have something spectacularly foolish in mind.

"Racing is a core pillar of the Harley-Davidson brand, showcasing our commitment to performance and innovation," he said. Fair enough. Yes, sure, it somewhat is in the brand DNA but mostly on ovals or drag strips. Nonetheless, Harley's press release on the event went on to quote him as stating that "partnering with Dorna/MotoGP, we aim to expand our racing footprint globally, fueling the passions of our customers and fans. To judge by further remarks reported from the event, it sounds like the man who made (theoretically) abandoning direct race team operation in favor of supporting dealers one his first decisions on becoming CEO, is now seriously considering trying to engineer the most spectacularly expensive and ill-advised volte face in motorcycle manufacturer racing history.

He appears to be serious (at this stage) about trying to find a formula and deal whereby Harley Baggers can race in Europe and globally in a World Championship series staged at MotoGP rounds. Presumably at select rounds, not all 22 of them, or in all the 18 countries that the series visits (including some that Zeitz pulled Harley out of), but either way the word 'ambitious' doesn't even go near it.

Far-fetched though this might all sound, with MotoGP now coming under the US control of Formula 1 owner Liberty Media, and Liberty Media having not been slow in talking about its desire to see MotoGP "re-Americanized", anything is possible, I guess.

But has anybody told Zeitz how many additional motorcycles Harley would have to be able to make, and then sell, in order to liquidate the investment before it liquidated them? Down the decades, MotoGP has been a mountain where many much better equipped OEMs have gone to die. It's a financial graveyard.

For a man who is said to be a 'Brand Genius' it might also help if they had something more that just T-shirts that the MotoGP demographic might actually like and be able to buy. If this is a trojan horse to bring the low-cost Harley badged bikes built and sold in Asia into Western markets, then great, sure, then there could be an argument.

But nothing like the argument that Zeitz would have to face having with his dealers and existing customer base. Please, someone enrol him on a 'Capitalism 101' course before he is allowed to finally crash the brand completely.

Priority number 1, 2 and 3 right now, the Alpha and Omega of priorities, should be getting serious about helping his dealer network stay in business and his employees staying in work. Not following KTM into potential oblivion.

The news follows that of the failure (in bankruptcy or with production otherwise suspended) in 2024 or earlier of  E-Mobility GmbH/Kumpan (Germany, 2023), e-scooter startup 'UNU' (by EMCO, Berlin, 2023), Energica (Italy), Cake (Sweden), Canadian electric snowmobile and PWC manufacturer Taiga Motors (bought by UK entrepreneur, Stewart Wilkinson in October 2024), Juiced Bikes (San Diego, USA), Onomotion (Berlin), vanMoof (NL - mostly e-Cycles, subsequently acquired by McLaren F1 in UK), Arc Motorcycles (UK - at one stage financially connected to Jaguar Cars, who, BTW, have now fully abandoned ICE automotive production in favour of Electric - it won't end well!), Sondors/Metacycle (USA) the Erik Buell conceived Fuell Motorcycles (USA) and a number of other ePTW projects around Europe and elsewhere. Harley-Davidson is losing a lot of money on its LiveWire operation after a largely failed SPAC flotation and has its fingerprints on two prior e-PTW bankruptcies in the San Francisco Bay area in the form of Mission Motors (2015) and Alta Motors (2018). Some Alta staff had left to found Damon Motorcycles of Vancouver (of well-regarded 200 mph HyperSport fame). Damon recently concluded a fund-raising SPAC vehicle IPO on the NYSE (Ticker:DMN) but at the time of writing (November 20, 2024) shares were trading at less than $2.00, well below their a target price of $12.00 having opened at around $5.00 at the time of the flotation. Its tough out there for the electric motorcycle sector.


LiveWire Chief Technical Officer Vance Strader has announced that he is retiring from Harley-Davidson and LiveWire. An important figure in the development of the S2 'Arrow' platform, the modular, scalable architecture that was developed from the ground up, without yet being sure of any specifics, he also said that he is "not done". Speaking to the achievements on his watch he said that "designing and owning all the hardware and software, fully understanding how it all works, and being able to change anything anytime should be a real competitive advantage. And though I'm admittedly biased, having ridden hundreds of different ICE and EV motorcycles over the years, I'm especially proud of the 'secret sauce' we put into every LiveWire that I believe enables them to deliver some of the best riding experiences on two wheels."


Respected Cycle Source Magazine and Grease & Gears TV publishers and owners Chris and Heather Callan have moved their business from Pittsburgh to drop anchor further west, with Brian and Vanessa Klock at their Mitchell, SD Klock Werks 'campus'.


For the first ten months of 2024, the Benelli TRK 702/X is the top-selling motorcycle in Italy with 6,226 units sold in a market that was +6.13%. The BMW R 1300 GS was second with Honda's Africa Twin in third. Total scooter sales were 167,539 units (+4.34%).


For the YTD through October 2024, H-D sat in 7th spot with a 4.94% market share in Germany, having sold 6,085 units. The top-selling model was the Street Bob 114 in 49th spot with some 663 units sold for a 0.54% German market share. LiveWire was the fifth best-selling electric motorcycle with just 44 units sold (3.36% of a very small market) - less than one each week in what is supposed to be progressive, environmentally conscious market. In order to boost international profitability, four years ago Harley reduced the number of international markets it sells into, including the number of markets the HDMEA subsidiary operates in. A recent financial report in Europe estimated that their HDMEA subsidiary is losing money for the Milwaukee balance sheet.

The 2024 Bagger Racing League (BRL) season came to a dramatic close on November 16-17 with the final two rounds at the legendary Willow Springs International Raceway in Rosamond, California. Known as "The Fastest Road in the West," Willow Springs, with its 2.5-mile, 9-turn road course, provided a perfect setting for the high-speed, high-stakes competition.

The iconic track's mix of elevation changes and sweeping corners tested the skill and endurance of every racer, solidifying its reputation as a favorite among motorsport enthusiasts.

Saturday's races were met with intense winds, creating challenging conditions for riders and teams. The gusts added an extra layer of difficulty, especially in the track's open sections, where maintaining stability was crucial. Despite this, racers demonstrated remarkable control and determination, pushing through the adverse weather to deliver an electrifying day of racing.

Sunday brought a reprieve from the harsh winds, treating fans and riders to classic California weather - sunny skies and ideal racing temperatures. With the improved conditions, lap times dropped, and the competition intensified as racers fought for their final points of the season.

Kawasaki Demonstrates Hydrogen Superbike

The world's first high-performance motorcycle with a combustion engine fueled by hydrogen was demonstrated in advance of the Suzuka 8-Hour endurance race in July when Kawasaki allowed its prototype supercharged machine to lap the circuit.



Hydrogen might have some significant drawbacks as a potential power source for motorcycles, but in Japan the HySE research project, which involves all four major motorcycle manufacturers as well as Toyota and Kawasaki, has been charged with the task of developing engines capable of running on hydrogen as part of the effort. The company has previously shown prototype engines and sketches of a motorcycle built to house it, but this is the first time the bike has been seen in action by the public.

The downside of hydrogen as a fuel is immediately apparent. The bike looks like a large tourer with huge side cases, but it's really a single-seater with minimal luggage space. Those panniers are packed with cylinders that carry the hydrogen, compressed to around 700 bar (10,000 psi), and even so the prototype's range is believed to be significantly less than a conventional petrol-powered machine would manage on a normal tank of fuel.

But fuel systems and storage aren't Kawasaki's role in the HySE project, and it's clear that its part of the deal - to create a combustion engine that will run on hydrogen - is largely complete.

According to Kawasaki, the prototype's chassis has been designed specifically to make space for all the hydrogen tanks, but the engine is derived from the existing 998 cc, supercharged H2 motor. 

Forced induction is a key element to getting good performance from a hydrogen combustion engine, helping to get as much air as possible into the cylinders. It's paired with direct fuel injection that adds the hydrogen to the combustion chambers after the inlet valves have closed.

Although the prototype is running and Kawasaki reports that hydrogen actually provides improved responsiveness compared to petrol, it's still a long way from production. The company believes that it might become "one carbon-neutral option for riders in the early 2030s".

The 'secret sauce', according to the company, is its proprietary 'Aligned Grain Flow' technology. "Being one of the only fully integrated piston manufacturers in the USA, our in-house forging operation has allowed for the development of an improved forging process that maximizes the alignment of the aluminum's grain structure, which translates to 'next level' tensile strength.

"This enables the pistons to stand up to the extreme power the M-8 builds, of 400 hp or more, or simply offer extreme durability for milder builds.

The ceramic-based Thermal Barrier crown coating protects the piston by reducing heat transfer, especially in high-heat environments like built M-8 engines. Piston ring provisions, including lateral gas ports and an accumulator groove, aid in maintaining consistent ring seal at the top compression ring, which is crucial to consistent power, especially when power multipliers like turbos get thrown into the mix.

In addition to the 'Aligned Grain Flow' material itself, the forging design that JE uses for its M-8 engine Ultra Series pistons has been optimized with internal and external bracing - features not commonly seen in V-twin piston design. This helps mitigate piston flex under heavy engine loads, adding to the pistons' strength qualities without adding unnecessary weight.

Additional features include 3D under crown milling for additional weight savings, offset pins for reduced piston rock and skirt notches for optimal clearance at bottom dead center.

They are now available in standard (4.250"), 4.310" (+.060") and 4.320" (+.070") bore sizes (4.500" stroke), each with the option of a 10.25:1 or 11.25:1 compression ratio. They are supplied in kits including two pistons, rings, wrist pins and wire locks - all under the one part number.

PIERER Mobility AG

KTM Owner to Take € 1bn Hit as Bankruptcy Protection Filing Triggers "Redimension of Production" 


PIERER Mobility AG is finally giving way to the inevitable outcome of the increasingly bad flow of news that has been coming out of the Austrian business empire of Stefan Pierer since this time last year, with the wholly owned KTM AG subsidiary of PIERER Mobility AG filing for an Austrian equivalent of bankruptcy protection.

In a November 29 2024 application for 'judicial restructuring proceedings' with what is termed 'self-administration' of its on-going trading and restructuring initiatives, it will buy itself the 90-days it says it needs. That time is needed in order to raise the "high three-digit million figure'" it requires to protect itself from its creditors. Failure to do so would ultimately result in a winding-up process that would see it facing a liquidation of its assets and, no doubt, a fire-sale of intellectual properties that would be much coveted in Asia. 


In the byzantine corporate structure that is downwind of Stefan Pierer, KTM AG is the business doing the filing, and the business where the financing is required. The management will have three months to find a 'self-administered' way forward - essentially a variation on the theme of a 'pre-pack' solution, albeit one devised under legal cover.

The PIERER Mobility AG executive board stated in advance of the filing that it was the "Executive Board of KTM AG" that had decided to make the filing, but this is all 'in-house' so details of who actually has ownership of the application for the "initiation of judicial restructuring proceedings with self-administration over the assets of KTM AG and its subsidiaries" is being seen as a procedural moat to protect other trading divisions and shareholdings.

"The proceedings give the opportunity to continue to manage the assets under supervision and to reorganize the KTM Group independently. All other subsidiaries of KTM AG, in particular all sales companies, are not affected." Which in and of itself is patently misleading - of course the outcome affects them, even if not in the ways that a filing would interpret that.

The aim of the proceedings is to agree a reorganization plan with the creditors within 90 days, and in a new generation of 'right sizing' corporate jargon 'redimensioning' of the group is the phrase being used. This is an attempt to try and make everyone think that 'all is okay, it is just a pesky technicality', but it isn't. People are going to lose jobs. Dealers are going to lose their brand investments and all involved will lose money one way or another.

The PIERER Mobility AG release states that the process "should not only secure the continued existence of the KTM Group in the long term, but also create the basis for emerging stronger from the proceeding." Meanwhile, MV Agusta? Will more good money be sent to die on that mountain top?

"A 'redimensioning' of production should lead to a gradual adjustment in excess stock at KTM and its dealers over the next two years. This will result in a reduction in operating performance at the Austrian sites totalling over € 1bn in the years 2025 and 2026."

Having been on the receiving end of 'channel stuffing' and over-trading there are no doubt many hundreds of dealers worldwide who will not be impressed with that time scale. Get it done!

"The restructuring process will result in additional potential losses, for example due to one-off expenses such as necessary write-downs (e.g. for capitalized development costs) and costs for staff reductions as well as the shortfall in fixed costs due to the reduced operating performance and other costs arising from the restructuring process. 

"Consequently, for the current 2024 financial year, the company expects a negative annual net result in the very high three-digit million range."

In a subsequent release, PIERER Mobility AG has described it as KTM AG taking a "pit stop" for the future as KTM AG implements "restructuring measures" - the management of KTM AG having assumed that "it will not be possible to secure the necessary interim financing in a timely manner." 

Stefan Pierer, who is Co-CEO of KTM AG as well as of his eponymous holding company is quoted as saying: "Over the past three decades, we have grown to become Europe's largest motorcycle manufacturer. We inspire millions of motorcycle riders around the world with our products. Now we are taking a pit stop for the future. The KTM brand is my life's work, and I will fight for it."

In September 2024 Pierer fired four of the KTM AG board members from their executive posts - Florian Kecht, COO Rudolf Wiesbeck, Stefan Pierer's son Alex, and Hubert Trunkenpolz, grandson of KTM founder Hans Trunkenpolz (the 'T' in KTM).

Instead, Stefan Pierer had hired Gottfried Neumeister as a newly minted Company Doctor and advisor, Executive Board member and Co-CEO. Stefan Pierer states: "Gottfried Neumeister has brought impressive experience and a breath of fresh air and has made a significant contribution to addressing the current situation. I am convinced that together we will get the company back on track for success."


For his part, Neumeister is quoted as saying: "The enthusiasm of our employees is our most important competitive advantage. Their passion is the reason why KTM is globally synonymous with peak performance. We build our motorcycles reliably and robustly for every race, for every terrain. Now it's about making the company robust. Robust for the future. So that we can quickly focus again on what we do best: building the coolest motorcycles in the world."

For the success of the restructuring proceedings, a restructuring plan must be agreed upon with the creditors. Stefan Pierer is further quoted as stating: "The core shareholders stand by KTM and PIERER Mobility and its stock market listing. The goal is clear: KTM should emerge stronger from this difficult time."

The Pierer/KTM corporate structure was theoretically realigned (streamlined is not quite the right word for it) to better accommodate the position of Bajaj Auto as co-owner of the KTM AG motorcycle manufacturing and other PIERER Mobility AG owned operations in 2020. 

However, the structure has morphed since then. Per a further PIERER Mobility "simplified presentation" corporate structure chart issued in November 2024, Pierer Industrie AG owns 50.1% of Pierer Bajaj AG, in addition to other holdings such as Austrian electronics components manufacturer Abatec (100%) and the Austrian automotive engine and drivetrain parts manufacturer Pankl Racing Systems AG (80% - the owner, among other properties of CP Carillo Pistons and Rods and Arias Pistons in Irvine, California).

In turn, Pierer Bajaj AG owns 74.94% of PIERER Mobility AG. It is PIERER Mobility AG that is listed on the Vienna and Swiss stock markets. The shares have plummeted to around the € 7.7 mark as at the end of November 2024 (approx. USD $8.15), having been as high as € 101.88 (approx. USD $106.37) as recently as February 2022.

It is PIERER Mobility AG that is the 100 percent owner of KTM AG, not Pierer Bajaj or Pierer Industri, and it is KTM AG that is filing, not, as reported mistakenly elsewhere, its PIERER Mobility parent company. It is KTM AG that owns and operates the KTM, Husqvarna, GasGas and MV Agusta motorcycle brands and their operations, and in which the relationships with CFMoto and ZEEHO electric vehicles are owned and operated.

There are four additional business divisions owned by PIERER Mobility AG, but they stand alongside but separate to KTM AG within the structure. These are the Bicycle, Design and R&D (Kiska etc), Digital Transformation and IT division (such as PIERER Innovation which is among the interests in which Stefan Pierer's son Alex is primarily involved) and the Motorsport division.

This structure is important in understanding who exactly those shareholders left taking the loss actually will be, and it would appear that, through PIERER Mobility AG's 100% ownership of KTM AG it will be Pierer Bajaj AG (74.94% of the hurt) and the other shareholders in PIERER Mobility AG - those on the Austrian and Swiss stock exchanges, and any other 'direct' ownership stakes within the approx. 25% remaining minority balance of the non-Pierer Bajaj AG controlling ownership slice.

The day before the filing announcement, PIERER Mobility moved to deny domestic Austrian press reports that talks had taken place with Mark Mateschitz, the son and heir of the Red Bull energy drink founder. An obvious candidate for the nearly € 1bn of liquidity that is said to be required, but a carefully worded denial simply said that no such talks had taken place at that stage. It did not rule out whether such talks might take place at some stage though. 

However, Indian conglomerate Bajaj Auto remains the favorite to take over ownership. Additionally, CFMoto already has 'skin in the game' through its corporate and manufacturing ties with the group and their primary Chinese rival Qianjiang Motorcycle (the Benelli-owning Geely subsidiary) and is likely to be wanting to keep a close eye on any moves its internationally best know, respected and connected domestic rival may be planning. Both will likely also be eying how Bajaj Auto responds to the mess.
